Offer acceptance is subject to acceptable purchase order or contract.
A deposit on materials is required. A credit application and resale certificate if applicable is required.

Price does not include sales tax unless noted and it will be added if applicable.

Customer agrees to purchase the quoted products, subject to all Terms and Conditions applicable to sale as published, noted or herein.

Prices: All prices are quoted F.O.B. shipping point of manufacture, factory or as noted on bid, quote or proposal.
Prices quoted do not include any unloading or any form of installation, unless specifically noted. If installation is quoted, it is non mechanical. Installation is a service and does not include receiving, unloading nor is there any responsibility accepted for receiving or inspection of products. You, the customer must inspect and receive products, whether shipped by common carrier or by private contract carriers or any method. All products are FOB factory or point of origin; unless quoted FOB a destination.
Even F.O.B. Destination does not change the terms of receiving and inspection of products as described above or responsibilities.
Freight claims and replacements needed because of concealed or any damage or short shipment is the customer's responsibility.
Refuse any damaged or short shipment.
Specifically note any damage even if you determine it is likely acceptable to you.
Note damage to carton or crate before signing for any shippment. If you sign for goods that is considered acceptance as "clear" with no damage.
Never sign shipment's Bill of laden or other paper document without noting carton damage.

There is no recource if you sign for goods, that is considered arriving "clear" of damage. Open boxes before signing for goods.

To the extent inconsistent with or contradictory to any of the terms of the purchase order or any other document, the following terms and conditions shall supersede; same BD Cabinets, Inc. is hereinafter, referred firm and Laboratory Interiors referred as firm. Items quoted herein are and have been selected to match as nearly as possible the items indicated in your request, if different we so note by the word equal. Since standard products from vendor to vendor and fabrication style changes from manufacturer to manufacturer, they may not conform in every respect to the units indicated in your request. Therefore, your acceptance of this quotation must be limited to acceptance of these items as offered. This is especially true with lab tops that have limitations such as maximum length is 8'0 or a seam is required. More seams are often the case to get best utilization of standard mold sizes. Diamond bit tolling is required to cut, route or drill this material and it is more expensive if these are done in the field and not noted and bid prior to order. Factory tolerances for epoxy is set by the factory; there are variations in thickness in every slab. Epoxy finish is a baked finish unlike solid man made tops and once scratche the blemish cannot be sanded or buffed out. It can be partially concealed with pigment; but is costly.

These terms are a part of every quotation and every quotation is to be referenced in any contract or any notice of intent to contract. Every effort is made to bring to your attention any and every difference which may present a benefit or disadvantage, yet it is not possible to represent all differences; therefore our offering is of our standard product. We offer equal to AWI or other industry standard and the practices; but may not so conform to the indicated or requested items exactly.


- Terms - Payment of 50 per cent of material total is required before fabrication of quoted items can begin, remaining balance is due 30 days from the date of invoice accept on buyout or custom items; which require the 50% deposit, but are DOS or COS(Due on Ship or Cash on Ship). Typical COS terms provide client with maximum discounts. Balance is Past Due on a COS on Day 5 and on DOS on day 10. Past due balance will be subject to a service charge of 1-1/2 percent per month, or the maximum amount permitted by law. Price quoted is based upon firm receiving your order for the entire amount of the quotation on standard fabrications.


- Price is based on a coordinated shipping and installation schedule. Unless so noted phasing is not included and any additional trips or shipments will be billed as necessary. Products are FOB factory or point of origin. If shipment is made per the agreed schedule date, and you are unable to accept delivery, then storage, demurrage or extra unloading charges incurred will be billed to your account.


You our customer will be responsible for making your own arrangements to store materials if the job site is not ready. The storage must be appropriate to material requirements, which does for casework mean area to have humidity and temperature controls working to create a stable temperature and humidity.

Invoices are generated at the time of shipment and are due. If it is agreed payment to be net 10 or net 30, then they are do 10 or 30 days from the date of the shipment. No pay when paid or any other terms are part of our agreements. Other terms rather than down payment requirement is needed they include TT (telephone transfer) or ACH (electronic transfer), letter of credit, note your order or as note herein. Arrange for method of payment otherwise delivery can be delayed.


Freight is estimated. Actual charges will be billed. Freight claims are the responsibility of the buyer as product is sold fob point of origin. We will assist you, but we cannot make or generate any claim for freight damage. Check all incoming shipments for quantify and condition, if no notice of shortage or damage is reported as required, you have no recourse.


Shipments are 45-60 days after receipt of approved drawings, including colors, and required to ship information. We will ship your order when it is complete unless on your purchase order you have a date of deliver. Approval of drawings or catalog cut or submittal will require us approximately two weeks. You must approve, sign and send signed by you or your agent set with colors to us and it must be returned to us before the job or order can go into production.


Freight--F.O.B. point of origin. Actual freight will be prepaid and added to your invoices at the time of shipment, or billed as a separate invoice unless it is agreed freight will be billed to you direct by the carrier of your preference.


Sales Tax--Purchaser shall pay when due all excise, sales, use or similar taxes accessed as a result of the material and/or work furnished and performed by fimr under this quotation, purchase order or contract which will be issued in lieu of a purchase order. The purchase price is exclusive of such tax.


Colors - Fume hood superstructures are finished in the standard colors of the manufacturer, any other color can be an extra cost. Please select color from standard color pallet of the fabriator.


Fume hood superstructure and casework of metal is epoxy paint by some vendors and powder coat by others. Custom units may be powder coat or epoxy paint.


Standard cabinets of & quoted by firm or vendors of either shall have shells of white, unless specifically called out; metal matches box color, while laminate standard is White melamine. White interiors are all not exposed to view. If glass doors color to match faces of doors and drawer fronts, unless cost savings is needed, then melamine match not laminate.


Doors and drawers fronts are to be selected from stock standards WilsonArt Laminate; Chemsurf faced adds 15% or Arborite adds 10%. Stock standard WilsonArt colors are subject to change and are solid colors with satin finish. Note Arborite is (scratch chemical resistant laminate)where as Chemsurf is only scratch resistant if diamond finish add additional 5% to Chemsurf and not textured. Chemguard is textured and no added cost. Color is limited to grey, almond, tan, blue; custom colors add $300.00.


Fast Delivery colors are limited to: Strata Blue(Larkspur) Mariner Blue(Atlantis) Brittany Blue, Fashion Gray, Dove Gray, Almond, Beige(Khaki Brown), Frosty White, Black (100s of colors are available, but minor cost and time may be a factor.


Countertops available in standard black color; unless noted in quotation. Chemsurf and regular laminate has many colors options, look at your quote and note what is offered. If not color is stated it is black. Epoxy Resin is Black and is 1" thick unless another color and thickness is indicated on your quotation. Epoxy is available in some other colors, but adds extra cost and extra time. Contact quotation department for options in thickness, color and even edge details. Colors or finish options adds to production time. Chemsurf Fronts in shades adds to cost about 35%. Many options such as Label tabs and locks need to be added, unless it is on the quotation it is not included as a standard. Note high smooth surfaces or gloss or special metals shows scratch and blemishes, we will provide if ordered, but there is no warranty on these finishes. Any scratches after products are shipped to the job and accepted becomes the responsibility of purchaser or owner and repair is at your expense; as control of the area is not within our control. If we install, we will place signage and paper or cardboard protection if advised to; but we are not responsible for damage done by other trades or others during or after our installation. All products do not perform the same. While superior in many situations the material may fail or not be appropriate to another application, therefore, be sure the performance of the material is appropriate to your performance requirements. Ask for material samples and test. Ask about failure issues.


Escalation Clause-- - A - Prices quoted will remain firm for 30 days, unless noted less. If an order is submitted after 30 days, prices will have to be re-quoted. - B - If purchase order is issued within 30 days of the quote date, then the prices quoted will remain in effect pending release of the entire order on a current shipment schedule prior to any announced price increase. - C - If an order is placed, but not to be shipped for period in excess or 45 days and prior to being released by you for shipment there is a price increase, then the order will be subject to prices in effect at the time of the shipment. For this reason, we recommend material required on a project with a delayed need be shipped, inspected, and put into appropriate storage on your site. Note ship and inspect as soon as product arrives and place in secure storage. Note humidity control is a requirement for warranty of all our products.
Cancellations--If your order is canceled prior to shipment, solely as a result of your decision and not because of any failure of vendors of or firm to perform as per your contract or purchase order, you will be billed 20 percent of the material total of your order, accept for special fabrication items, such as tops, which are not subject to cancellation after the work has been authorized. If cases are built you will be billed for specials and doors. You will be billed the FULL amount of the quoted price for all buyout or special fabrications. These items will be shipped to you or we can attempt to resell these items to assist you in recovery of these funds; but we must be paid in full for us to assist you in the reselling. Warranty - Firm warrants all the product they make to be free from defects in workmanship for a period of one year and extends to you the warranty by the maker or manufacturer of any products we sell. The warranty of the manufacturer sold under this order per the manufacturer is to be free from defects in workmanship and material for one year from the date of the invoice or receipt of product. During that year the warranty period, there will be no charge to you the customer or your customer for the repairs, including labor. The warranty of cabinets is against defects in material and workmanship for as long as the original purchaser owns the products. Warranty shall not apply to such cabinets or equipment if such equipment has been subject sale or to the purchaser's negligence, alteration, improper care or usage. Note special stamp noting appropriate product specified for use. This warranty and liability set forth in the prior paragraph is in lieu of all other warranties and liabilities, except of title, express or implied, including implied warranties of merchantability or fitness for a particular use. In no event shall firm be liable for any consequential, indirect, or special damages, liability shall be limited to the purchase price of the equipment proven to be defective and this remedy exclusive. Warranty and product liability expressed or implied is that of the actual manufacturer. We warranty our installation for one year. All warranty is void if abuse, misuse, or dynamic behavior of materials specified or selected is not appropriate to the application. Delay - Firm(s)shall not be responsible for any claims, losses, offsets or damages if manufacturers performance is delayed or prevented by civil disorders, war, strikes, fires, floods, inability to obtain delivery of component parts, acts of God, or by any other cause not within firm's control and which, by the exercise of reasonable diligence, firm is unable to prevent. Back Charges - Any unauthorized deduct from payment or separate invoiceswill not be approved without prior written authorization from authorized representative of BD Cabinet, Inc. or Laboratory Interiors POB 335, Davenport, Wa 99122. Change Orders - all change orders are to be in writing. If your require work to be different in any way than indicated on our installation drawings or notes we will require a written change order. Additional work is a change order.
